Member Liability Waiver
Social Room Membership Agreement
By becoming a member of BBA Collective LLC ("BBA Collective" or "BBA"), I acknowledge that I am granted personal, limited access to the Social Room and designated amenities, subject to this agreement and BBA Collective’s membership policies. I agree to treat the space, furnishings, equipment, and other members with care and respect. Membership does not grant ownership, tenancy, or a right to occupy the premises outside authorized hours.
Responsibility for Property Damage and Theft
I understand that BBA Collective operates within a leased commercial property and is responsible for maintaining the premises, furnishings, equipment, and other business assets. I agree that:
I am not financially responsible for ordinary wear and tear, preexisting damage, or damage or theft caused by another individual unless I personally participated in or caused the incident. BBA Collective reserves the right to seek reimbursement or pursue available legal remedies for verified losses directly attributable to my actions.
I am financially responsible for damage to BBA Collective property, furnishings, fixtures, equipment, merchandise, or leased premises directly caused by my negligent, reckless, intentional, or unauthorized actions.
I am responsible for theft, unauthorized removal, or intentional destruction of BBA Collective property that I personally commit.
I agree to reimburse BBA Collective for reasonable, documented repair or replacement costs resulting from my actions, including landlord charges for damage I personally caused.
I will promptly report damage, theft, safety concerns, or malfunctioning equipment to the owner.
Personal Access Code and Security
Each member is provided with an individual access code or authorized entry credential. I agree that: Sharing credentials or allowing unauthorized access is a serious policy violation and may result in suspension or termination. These access rules do not, by themselves, make me financially responsible for another person’s independent actions.
My access code is for my personal use only and may not be shared, transferred, published, or provided to anyone else.
I will not allow another person to enter using my credentials or knowingly admit an unauthorized individual.
I will not permit others to bypass entry procedures or enter behind me without authorization.
I will notify BBA Collective promptly if I believe my code has been compromised.
Guest Policy
The Social Room is intended for authorized members. I understand and agree that:
Unauthorized guest access may result in suspension or termination of membership. I remain responsible for my own actions while accompanying a guest, but I am not automatically financially responsible for a guest’s independent actions.
Guests require advance approval from the owner before entering the Social Room.
Approval for one visit does not establish ongoing guest privileges.
Approved guests must follow applicable BBA Collective policies.
BBA Collective may deny or revoke guest privileges consistent with applicable law.
Membership Policies and use of Space
I agree to follow BBA Collective’s published membership policies, including the Fine Print and membership requirements on its website. These include:
BBA Collective may update policies with reasonable notice and communicate material changes to members.
Members must be at least 18 years old.
Access is limited to established operating hours or other expressly authorized times.
Members must use the space respectfully, safely, and for intended purposes.
Furniture, equipment, supplies, merchandise, and decorations may not be removed without permission.
Shared areas should be left substantially as found, allowing for normal use.
Members must respect others’ privacy, belongings, and experience, and follow reasonable safety, security, occupancy, and facility instructions.
Personal Property and Assumption of Risk
I understand that use of the Social Room is voluntary and may involve ordinary risks associated with a shared commercial space. I agree to exercise reasonable care. To the fullest extent permitted by Ohio law, I assume ordinary and inherent risks of voluntary use, excluding risks for which BBA Collective may not lawfully disclaim responsibility.
BBA Collective does not provide secure storage or insurance for members’ belongings and is not responsible for their loss, theft, or damage except to the extent caused by BBA Collective’s legally actionable conduct. Nothing in this agreement releases BBA Collective from liability that cannot lawfully be waived.
Reimbursement and Financial Responsibility
If BBA Collective has reasonable grounds to believe I am responsible for property damage, theft, or another documented property loss, it will provide a written explanation and the amount requested. Reimbursement may include reasonable, documented repair or replacement costs, restoration costs, or landlord-imposed charges directly attributable to my actions.
I may dispute the request and provide relevant information before further collection action. BBA Collective may pursue substantiated unpaid amounts through lawful collection procedures or other available remedies. This agreement does not authorize automatic charges to a stored payment method without separate, valid authorization.
Suspension or Termination of Membership
BBA Collective may suspend or terminate Social Room access for violations of this agreement, including unauthorized guests, credential sharing, theft, property damage, or conduct threatening safety or security. Where appropriate, BBA may give notice and an opportunity to resolve a violation; serious safety or security concerns may require immediate suspension. Refund eligibility is governed by membership terms and Ohio law. Termination does not eliminate responsibility for verified obligations incurred beforehand.
Governing Law and Agreement terms
Ohio law governs this agreement. If a provision is unenforceable, remaining provisions continue to the extent permitted by law. This agreement supplements BBA Collective’s published membership terms; any material conflict is resolved under applicable law and the specific written terms agreed to by the parties.
